- In-depth knowledge of the Agency's structure, rules and procedures (e.g.: ESA procurement rules, ESA General Clauses and Conditions, Policies, etc.) and of all directorates.
Good Familiarity with the structure of Agency’s main agreement with Governmental authorities and other Agencies and Launch Service providers.
In-depth knowledge of ESA bid pack documentation (ITT, Special Conditions of Tender, Statement of compliance provided to ESA) and of the different agreements and contracts between the Agency and the industries (e.g.: all kind of contracts from phase A to phase E1, ESA subcontract model, co-founding contracts, R&D contracts, ESA Horizon 21-27, etc.).
Supervision of legal review of all major ESA and commercial contracts of Earth Observation, Navigation and Science and Exploration domains.
- Legal & Contract risk and strategy analysis for Institutional and Commercial bids and programs.
Extensive experience in building Programs contractual scheme, among all the different partners involved, with particular attention to the contribution of each of them in terms of their participations (e.g. Manufacturing supply, launch services, services supply, including their possible loan or barter), and their correspondent responsibilities, liabilities and access to results.
- Drafting and negotiation of all the preliminary agreements for new initiatives, such as Memorandum of Understanding, Letter of Interest or Intent and Teaming agreement. After the contracts award, drafting of Cooperation or Industrial Agreements, in order to ensure that the contents of the agreements are compliant with the internal policies. All the above, taking care of the rules of competition and market protection.
- Legal Analysis and support to all the business units on legal issues of the ongoing programs. Transversal coordination with support functions (e.g.: Financial, Insurance, Trade compliance, etc.) to the decisions, to solve issues and meet targets.
- Antitrust responsible. In such role, I have experience on European and national competition laws and I am in charge of the implementation of Antitrust compliance program. This including supervision of the new partnerships and agreements, diffusion of an Antitrust culture (trough internal training), in order to foster the company behavior in line with competition law. Membership of the “Italian Antitrust Association”.
- Consolidated skills on Space laws, conventions, regulations and policies, Intellectual Properties, International Trade, as well as knowledge on US Federal Administrative Rules on Trade contracts.
-Legal support and advice on legal and contractual matters related to Observation, Navigation and Telecommunication domains.
- Analysis and monitoring of the reference legislation and its updates.
- Drafting, negotiating contracts, in particular Non-Disclosure Agreement, sales and procurement contracts, software license agreement, loan agreement, etc.
- Updating of company’s standard agreements (draft of purchase contracts, General Terms and Conditions).
- Supporting and advising the company on contractual matters relevant to touristic service contracts.
- Drafting, negotiating and managing the above contracts in Italian, English and Spanish, including the review of tender and contractual documentation, in particular loan agreement, services agreements, sales and purchase contracts.
- Drafting contractual correspondence - maintaining deadlines on deliverables and relating with business partners and colleagues about contractual issues.
